R.W. Selby & Company is looking for the right person for our in-house legal counsel position.

 

Founded in 1975 and based in Los Angeles, R.W. Selby & Company, Inc. (RWSC) is a vertically integrated real estate operating company that acquires, redevelops, and manages Class “A” and “B” apartment communities throughout Southern California and Nevada. 

 

RWSC and its affiliates have acquired, developed, and sold over $3B of properties in partnership with investors including a AAA Rated Financial Services Company, Harvard Private Capital Realty (a unit of the Harvard Endowment), Charlesbank Capital Partners, BayNorth Capital. Colony Capital, Clarion Partners, Westbrook Partners, Sun America, and Solus Property Company.

Critical to the implementation of these elements is RWSC’s management team – a diverse group of individuals with experience and expertise spanning all phases of the investment process, including acquisition, financing, legal, construction, renovation, marketing, management, and disposition.


In-House Counsel Responsibilities

  • Manage, oversee, coordinate and attend to all legal aspects and legal issues related to deal flow of a dynamic, opportunistic real estate investment and asset management company.
  • Structure, draft, review, and negotiate a variety of corporate, real estate, and other transactional documents, including:

    • Real estate purchase and sale agreements, title objection letters, project operating agreements, joint venture agreements, fund and similar vehicle documents, private placement memorandums, and other organizational documents.
    • Construction agreements, vendor agreements, and service agreements
    • Loan documents
    • Lease agreements
  • Manage and coordinate transactions, lead the acquisitions team to ensure all necessary documents and funds are timely and properly completed, executed, received, delivered and distributed in order to close.
  • Oversee due diligence efforts for the acquisition of multi-family and mixed-use properties.
  • Review, research and draft litigation documents and claims, working closely with the company’s insurance carriers, outside lawyers, and internal team to coordinate and handle such litigation matters.
  • Manage and respond to all landlord/tenant issues that may arise.
  • Oversee and work with the company’s insurance consultants to procure insurance for the company and real estate portfolio.
  • Oversee insurance compliance with company vendors and contractors
  • Oversee federal, state and city regulations to ensure compliance on behalf of the portfolio. Develop policy and procedures and training to ensure compliance.
  • Provide general legal support to the company’s various businesses and team members, with day-to-day responsibilities for corporate compliance, transaction management and property management for a growing and dynamic business.
  • Supervise Legal Department staff.

Basic Qualifications

  • JD degree from a top-tier law school required, with excellent academic credentials.
  • Active membership in good standing with California State Bar Association.
  • 8-12 years experience in a top rated law firm or comparable in-house corporate environment with a sophisticated legal practice.
  • Excellent training and experience in one or more of the following practice areas: acquisitions and dispositions, financing, property management, joint ventures, construction agreements, insurance, and landlord/tenant law.
  • Exceptional intellectual, professional and interpersonal agility and flexibility, combined with superior drafting, negotiation, analytical and problem-solving skills.
  • Ability to thrive in a team environment, build interdepartmental relationships at all levels, and evaluate and reconcile issues from the business standpoint
  • Exceptional organizational and time management skills, with the ability to learn quickly new businesses, industries, and legal issues, and to manage fast paced environment with numerous projects simultaneously under tight timelines.
  • Ability to maintain a high degree of confidentiality. Unquestionable ethics and integrity, sound judgment.
